1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Marketing App ("the App") operated by AK LEADS LLC ("we," "our," or "us"). These Terms also apply to other applications operated by AK LEADS LLC that integrate with Meta's APIs; in that case, references to "the App" apply to each such application. By accessing or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

2. Description of Service

The App is a marketing tool that integrates with Meta's APIs to help authorized users monitor advertising spend and performance, and, where applicable, manage advertising accounts and Business Manager access for ad accounts and Business Managers that the user owns or is authorized to administer. Features vary by application and may change over time.

3. User Accounts and Access

To use the App you must connect a Meta account that you are authorized to use. You are responsible for maintaining the confidentiality of your credentials and access tokens, and for all activity that occurs through your connection. You must promptly notify us of any unauthorized use. You represent that you have the necessary rights and permissions for any ad accounts, Business Managers, and data you access through the App.

4. Acceptable Use

You agree not to:

• Violate any applicable law, regulation, or third-party right;
• Access, manage, or modify ad accounts, Business Managers, or user access that you are not authorized to administer;
• Attempt to gain unauthorized access to any system, account, or data;
• Interfere with, disrupt, or place undue load on the App or Meta's platform;
• Harvest, scrape, or misuse data obtained through the App;
• Share your credentials or access tokens with unauthorized parties;
• Use the App in any way that violates Meta's Platform Terms or Developer Policies.

5. Meta Platform Compliance

Your use of the App in connection with Meta's APIs is also subject to Meta's Platform Terms and Developer Policies. We access and use Meta data only as necessary to provide the App's functionality, and we handle such data in accordance with our Privacy Policy. To the extent these Terms conflict with Meta's terms regarding Meta data, Meta's terms control.

6. Intellectual Property

The App, including its software, design, and content, is owned by AK LEADS LLC and is protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the App except the limited right to use it in accordance with these Terms. All trademarks and service marks of Meta and other third parties are the property of their respective owners.

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, error-free, or secure, or that any data or results obtained through it will be accurate or reliable.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AK LEADS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to indemnify and hold harmless AK LEADS LLC and its officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the App, your violation of these Terms, or your violation of any law or third-party right.

10. Termination

We may suspend or terminate your access to the App immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the App ceases. You may stop using the App at any time and disconnect your Meta account. Provisions that by their nature should survive termination will survive.

11. Changes to Terms

We may update these Terms from time to time. We will post the updated Terms on this page and revise the "Last Updated" date. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the United States and the State in which AK LEADS LLC is registered, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in that State for the resolution of any disputes arising out of or relating to these Terms or the App.
